Incorporation of a New Company in Singapore

While entity formation is not difficult administratively, here are what will be required:

Information Required:

  1. Proposed Company Name: (3 Options – in order of preference)
  2. Business Activity/Industry Code:
    • List Singapore Industry Classification Code “SSIC” (Max 2 Codes – Primary & Secondary): follow link (then type in Keywords for Search)
    • Detailed Description of the Principal activity of the proposed company (at least 100 characters; it can be the same as About Us page on website)
    • Website – if available
  3. Paid Up Capital Amount (max. $1000; specify currency) – this can be increased after incorporation after injection of funds in the bank account
  4. Number of Issued Shares during Incorporation (at least 1 share)
  5. Registered Office “RO” Address (Note: we offer Office Address and digital mailroom):
  6. Financial Year End:
    • Allow us to choose the best option for tax purposes
    • Request your preferred financial year period (i.e. from January to December)
  7. Directors/Individual Shareholders/Corporate Representative/Beneficial Owners/Company Admin/Shareholding structure:
    • Name (as in Passport/NRIC)
      • Salutation (Mr., Mrs, Ms)
      • First Name
      • Last Name
      • Passport Number (Foreigners)/NRIC(local)
      • Email Address
      • Contact Number (with country code)
      • Current Residential Address
      • Indicate Position for Proposed Company:
        1. Director;
        2. Shareholder – indicate percentage of shares;
        3. Both (Director & Shareholder – indicate percentage of shares)
        4. Corporate Representative

        1. Politically Exposed Person (PEP) – if Yes, please provide details
        1. Have prior criminal convictions – if Yes, please provide details

    • Singapore Citizen or Singapore Permanent Resident “SPR”
      • Singapore NRIC (Front & Back) Clear Copy
    • Non-Singapore Resident Foreigners
      • Passport (Data Page/Personal Particular Page – valid for at least 6 months) Clear Copy
      • Proof of Residential Address (issued within last three months)
    • Singapore Resident Foreign professional, entrepreneur and immigration visa holders
      • Singapore FIN Card (DP/EP/PEP/EntrePass) (Front & Back) Clear Copy
      • Passport (Data Page/Personal Particular Page – valid for at least 6 months) Clear Copy
      • Proof of Residential Address in Singapore (issued within last three months)
    • Certified True Copy by Notary Public or Lawyer/Solicitor of Passport (Foreigners)/NRIC (local) – for verification purposes
  2. Legal Entity/Corporate Body:
    • Certificate of Incorporation
    • Latest Business Profile/Extract from Registrar / Certificate of Incumbency
    • Shareholding Structure (can be a Diagram)
    • Register of Directors
    • Register of Members/Shareholders
    • Name of Corporate Representative (Authorized Person to sign on behalf of the company)
    • Names of Beneficial Owner (anyone who owns =>25% shareholding or who has effective control)

All documents must be in English otherwise must provide Translated in English endorsed by a Certified Translator.
